What is published here is not advice

Everything on this site, the writing in the Insights section included, is general commentary. It is not legal, tax, accounting, financial or investment advice, and it is not advice on your particular situation. Do not act on it without taking proper advice from someone who knows the facts of your case. Nothing here creates a client relationship, and no client relationship exists until a written engagement has been signed by both sides.

What the firm does and does not do

HundredEast provides advisory services. It does not provide licensed legal or accounting services, does not act as an importer or exporter of record, does not act as a regulatory or data protection representative, does not carry out recruitment or placement, and does not hold shares, assets or accounts on behalf of clients. Where work of that kind is needed, you will be pointed to a firm licensed to do it.

Independence and board seats

Marc Spiegel accepts non-executive and independent director seats in his own name. HundredEast Co., Ltd. keeps those seats and its advisory work apart.

1. Marc accepts an independent directorship only if HundredEast has not advised the company within the applicable look-back period.
2. During his tenure and for the required period thereafter, HundredEast receives no fees from the company or its group.
3. Director fees are paid to Marc directly.
4. Marc discloses any possible conflict of interest in writing prior to appointment. If a conflict arises during a seat, he declares it and leaves the discussion and the vote.

A company secretary or nomination committee can ask for a list of Marc's board seats, the time each one takes, and a signed independence declaration on the company's own form. Where a market's rule is stricter than these commitments, that rule applies.

Accuracy

The material here is prepared carefully and is accurate as far as is known at the time of writing. Figures drawn from third-party sources are cited so you can check them yourself. Data gets revised, circumstances change, and no promise is made that everything on the site remains current. Where a figure matters to a decision you are making, go back to the original source.

Past results

The figures in the track record describe outcomes in specific businesses under specific conditions, achieved with the people and resources those businesses had. They are given as a record of what has been done and they are not a forecast, a projection or a promise of what any future engagement will produce.

Confidentiality of former engagements

Former employers and clients are not named on this site. Past work is described without naming the businesses involved. That obligation does not end when an engagement does, and the same will apply to your business.

Intellectual property

The text and design of this site belong to HundredEast Co., Ltd. or to Marc Spiegel. Photographs belong to them or are used under license, with credits below where required. You are welcome to quote short extracts from the writing with attribution and a link back. Reproducing whole articles, or using the material commercially, needs written permission first.

Availability

Governing law

These terms are governed by the law of the Kingdom of Thailand, and the Thai courts have jurisdiction over any dispute arising from them.
